This User Agreement ("Agreement") is a contract between you, the user, and Valore, Inc. ("Valore," "we," "us," and "our"). This Agreement governs your use of the services provided by Valore, including our website and any related services (collectively, the "Services"). By accessing, using, or signing up for an account on the Valore website (the "Site"), you confirm that you have read, understood, and agree to be bound by all the terms and conditions in this Agreement.
We may update or change this Agreement from time to time. If we do, we will post the revised Agreement on the Site and indicate the date of the last revision at the top of the page. Your continued use of the Services or the Site after any such changes are posted constitutes your acceptance of the new Agreement.
1.1 Eligibility : To use the Services, you must be at least eighteen (18) years of age and have the legal capacity to enter into this Agreement.
1.2 Account Termination : We reserve the right, at our sole discretion, to suspend or terminate your account and prohibit you from using or accessing the Services at any time, with or without notice, if we believe you have violated any part of this Agreement.
1.3 Account Use : You agree to use your Valore account only for yourself and not on behalf of any third party. You are fully responsible for all activity that occurs under your account. We may, at our sole discretion, refuse to open an account, or limit the number of accounts you may hold.
1.4 User Information; Account Security. : When you register for an account, you agree to: (i) provide accurate, complete, and current information; (ii) maintain and promptly update this information to keep it accurate and complete; (iii) be responsible for the security of your password and any other credentials; and (iv) accept full responsibility for all activities that occur under your account.
2.1 Wallet Functionality : Valore provides a digital asset wallet service that allows you to manage, send, and receive supported digital currencies. We may update the list of supported digital currencies from time to time.
2.2 Our Role : Valore is a self-custody wallet, which means you are responsible for managing your own private keys and digital assets. We do not have access to your private keys and cannot recover your funds if they are lost or stolen. We are not a bank, and we do not provide financial, legal, or investment advice.
2.3 User Responsibility : You are solely responsible for ensuring the accuracy of all transaction details, including recipient addresses. Valore is not responsible for losses due to incorrect or incomplete information provided by you. Transactions are irreversible, and we have no ability to reverse a transaction once it has been broadcast to the network.
2.4 Taxes : It is your sole responsibility to determine whether, and to what extent, any taxes apply to any transactions you conduct through the Services, and to withhold, collect, report, and remit the correct amount of tax to the appropriate tax authorities.
3.1 Risk of Digital Assets : The use of digital assets involves significant risk. The value of digital assets can be extremely volatile and may decrease to zero. You should carefully consider whether holding digital assets is suitable for you in light of your financial situation.
3.2 No Insurance : Digital currency is not legal tender, is not backed by a government, and digital currency accounts and balances on Valore are not subject to deposit insurance or similar protections. Valore is not a bank and does not offer banking or fiduciary services.
3.3 Software & Security Risk : The Services rely on complex software and technology that is still under development. While we have taken extensive security measures, there is always a risk of technical bugs, security vulnerabilities, or other issues. You acknowledge and accept the risks associated with software and technological errors.
3.4 Reliance on Third Parties : The Services may rely, in whole or in part, on third-party software and services. There is no assurance that these third parties will maintain their support, which could materially affect the Services.
3.5 Information Security Risk : Digital assets are a frequent target for theft. You acknowledge that hackers or other malicious groups may attempt to interfere with the Services in various ways, including malware attacks, denial of service attacks, or phishing attempts. Valore is not liable for any losses or damages caused by such attacks, and you are not guaranteed any remedy, refund, or compensation in such events.
4.1 Access and Availability : Access to the Services may be degraded or unavailable during times of significant market volatility or network congestion. We do not guarantee that the Site or Services will be available without interruption.
4.2 Site Accuracy : While we aim to provide accurate and timely information, the Site may not always be entirely accurate, complete, or current. Information may be changed or updated without notice. You are solely responsible for verifying any information before relying on it, and we are not liable for any decisions you make based on information contained on the Site. Links to third-party content or websites are provided for convenience and do not imply endorsement by Valore.
5.1 Consent : By using the Services, you consent to receive all communications, agreements, notices, and disclosures electronically, either via our Site or to the email address you provide.
5.2 Scope of Consent : Your consent to electronic communications applies to all of your interactions with Valore and will remain in effect for as long as you are an active user. You may request paper copies of certain documents by contacting us.
5.3 Withdrawing Consent : If you wish to withdraw your consent to electronic communications, you must stop using the Services and close your account.
5.4 Updating Contact Information : You are responsible for keeping your contact information, including your email address, up to date. If your registered email address or other contact information changes, you must notify us promptly.
6.1 Limited License : All content on the Site, including text, graphics, designs, and software ("Site Content"), is the property of Valore. You are granted a limited, non-exclusive license to access and use the Site Content solely for your personal use of the Services. Any other use, including reproduction, distribution, or modification, is strictly prohibited without our prior written permission.
6.2 Trademarks : "Valore" and other associated graphics and logos are registered trademarks of Valore, Inc. They may not be used without our prior written permission.
6.3 Submissions : Any feedback, suggestions, or ideas you provide to us about the Services ("Submissions") will be considered non-confidential and become our sole property. We will be entitled to the unrestricted use and dissemination of these Submissions for any purpose without acknowledgment or compensation to you.
7.1 Account Security : You are responsible for keeping your electronic devices and login credentials safe and secure. Valore is not responsible for any loss due to your failure to secure your devices or a compromise of your credentials.
7.2 Private Keys : Valore does not store your private keys. You are solely responsible for creating, storing, and backing up your private keys and recovery phrases. We cannot recover your funds if you lose your private keys.
7.3 Unauthorized Access : Never share your screen or provide your passwords or recovery phrase to anyone. Valore will never ask you for your private keys, passwords, or recovery phrase. If you receive a communication purporting to be from us asking for this information, it is a scam.
7.4 Security Breach : If you suspect that your account has been compromised, you must notify Valore immediately by emailing [email protected]. Failure to provide prompt notification may affect our ability to assist you.
8.1 Contact Us : For any feedback, questions, or complaints, please contact our support team at [email protected]. Please provide your name, email address, and any information we may need to identify you.
8.2 Complaint Process : If you have a dispute with Valore, you agree to first attempt to resolve it by contacting our support team.
8.3 Arbitration Agreement : If we cannot resolve the dispute through our support team, you and Valore agree that any dispute arising out of this Agreement will be resolved through binding arbitration on an individual basis. This means you and Valore are each waiving the right to a trial by jury or to participate in a class action lawsuit.
8.4 Governing Law : This Agreement is governed by the laws of the State, without regard to principles of conflict of laws.
8.5 Limitation on Liability : To the fullest extent permitted by law, Valore and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Services, even if we have been advised of the possibility of such damages. In no event will our total liability to you exceed the amount you paid to us, if any, for the Services.
8.6 Indemnity : You agree to indemnify and hold Valore, its affiliates, and their respective officers, directors, and employees, harmless from any claim, demand, damages, costs, or expenses, including reasonable legal fees, arising out of your use of the Services, your breach of this Agreement, or your violation of any law or the rights of a third party.
9.1 Amendments : We may amend or modify this Agreement at any time. If you do not agree with any such modification, your sole remedy is to stop using the Services and close your account.
9.2 Assignment : You may not assign or transfer any rights or licenses granted under this Agreement. We reserve the right to assign our rights without restriction.
9.3 Force Majeure : We will not be liable for delays, failures in performance, or interruptions of service that result directly or indirectly from any cause or condition beyond our reasonable control, including but not limited to network failure, power outages, or natural disasters.
9.4 Severability : If any provision of this Agreement is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it valid and enforceable, and the rest of the Agreement will remain in full force and effect.
